Agency Agreement Policy

1. PARTIES

This Agency Agreement (“Agreement”) is entered into between: Tepnot Technologies Private Limited, operating the live streaming platform “Tepnot Technologies Private Limited” ( “Company”, “Platform”, “We”)ANDRegistered Agency, including its owners, managers, representatives, contractors, and affiliated creators (“Agency”).

2. PURPOSE

The Agency is authorized to:

  • Recruit creators/streamers
  • Manage creators
  • Promote live streaming activities
  • Support performance growth
  • Earn commission from eligible revenue
    This Agreement does NOT create employment, partnership, or joint venture.

3. ELIGIBILITY REQUIREMENTS

Agency must:

  • Be legally registered (if required by jurisdiction)
  • Provide valid government identification
  • Provide business registration documents (if applicable)
  • Provide tax identification number
  • Pass KYC & AML verification
  • Not be blacklisted on fraud databases
  • Company reserves the right to reject any Agency without explanation.

4. AGENCY RESPONSIBILITIES

Agency agrees to:

  • Recruit genuine, real creators only.
  • Ensure creators are 18+ years old.
  • Prevent fake engagement, bots, or artificial traffic.
  • Ensure compliance with community guidelines.
  • Monitor creator conduct.
  • Report suspicious activity immediately.
  • Not engage in coin recycling schemes.
  • Not manipulate ranking systems.
  • Not operate multiple agencies to bypass restrictions.
  • Agency is fully responsible for the conduct of its recruited creators.

5. CREATOR MANAGEMENT RULES

Agency must:

  • Verify creator identity before onboarding.
  • Ensure creators complete KYC before withdrawal.
  • Prohibit use of third-party bank accounts.
  • Prevent shared accounts.
  • Prevent identity impersonation.
  • Prevent off-platform financial transactions related to platform earnings.

6. COMMISSION STRUCTURE

Commission shall be based on:

  • Valid gifted diamonds
  • Legitimate revenue
  • Net revenue after:
  • Refunds
  • Chargebacks
  • Fraud reversals
  • Tax deductions
  • Commission may be adjusted if:
  • Fraud is detected
  • Artificial engagement is identified
  • System abuse is discovered
  • Company has final calculation authority.

7. PAYMENT TERMS

  • Commission is paid monthly (or defined cycle).
  • Minimum payout threshold applies.
  • Payment may be delayed for:
  • Risk review
  • AML verification
  • Fraud investigation
  • All payments require:
  • Completed KYC
  • Verified bank account in Agency’s name
  • Tax compliance documentation

8. STRICT ANTI-FRAUD CLAUSE

The following are strictly prohibited:

  • Coin recycling
  • Self-gifting through secondary accounts
  • Cross-agency artificial gifting
  • Use of stolen payment methods
  • VPN masking for fraud
  • Device farms
  • Automated view bots
  • Rank manipulation
  • Money laundering schemes
  • Collusion between agencies
  • Violation results in:
  • Immediate suspension
  • Revenue forfeiture
  • Permanent ban
  • Legal reporting
  • Civil action for damages

9. AML (ANTI-MONEY LAUNDERING) COMPLIANCE

Company may:

  • Monitor transaction velocity
  • Flag abnormal earning spikes
  • Freeze suspicious withdrawals
  • Request source of funds documentation
  • Report suspicious transactions to authorities
  • Agency agrees to full cooperation during investigations.

10. INTELLECTUAL PROPERTY

All platform features, algorithms, systems, branding, ranking systems, and technology remain exclusive property of Company.


Agency may not:

  • Reverse engineer systems
  • Replicate ranking logic
  • Build competing clone platforms using proprietary knowledge

11. CONFIDENTIALITY

Agency agrees to protect confidential information including:

  • Revenue formulas
  • Commission structures
  • Internal algorithms
  • Creator performance data
  • Fraud detection systems
  • Confidentiality survives termination.

12. DATA PROTECTION

Agency must comply with:

  • Data Protection laws
  • User privacy standards
  • KYC confidentiality
  • Agency may not store creator KYC documents outside secure systems.

13. CONTENT LIABILITY

Agency is responsible for ensuring creators:

  • Do not upload illegal content
  • Do not promote gambling (if restricted)
  • Do not promote drugs
  • Do not promote violence
  • Do not violate copyright
  • Do not stream sexual or explicit content
  • Do not conduct political propaganda (if restricted)
  • Violation may lead to agency-wide penalties.

14. PLATFORM RIGHTS

Company reserves the right to:

  • Suspend creators
  • Suspend agencies
  • Freeze earnings
  • Reverse fraudulent transactions
  • Modify commission structure
  • Change ranking algorithms
  • Update policies without prior approval
  • Company decisions are final in risk-related matters.

15. RANKING & EVENT RULES

Agencies may not:

  • Coordinate artificial event boosting
  • Create fake competition loops
  • Exploit system timing loopholes
  • Share event reward farming strategies
  • Event manipulation leads to:
  • Immediate disqualification
  • Commission cancellation
  • Account termination

16. TERMINATION

Company may terminate this Agreement:

  • Without notice for fraud
  • With 7–30 days notice for standard termination
  • Immediately for AML violations
  • Upon termination:
  • Pending payouts may be held
  • Fraud review continues
  • Revenue may be forfeited

17. INDEMNIFICATION

Agency agrees to indemnify and hold harmless Company against:

  • Fraud losses
  • Payment processor penalties
  • Legal claims caused by creatorsRegulatory fines
  • Tax liabilities arising from Agency misconduct

18. TAX RESPONSIBILITY

Agency is solely responsible for:

  • Income tax
  • VAT/GST (if applicable)
  • Withholding compliance
  • Cross-border tax reporting
  • Company may deduct tax where legally required.

19. DISPUTE RESOLUTION

Disputes shall be resolved by:

  • Good faith negotiation
  • Arbitration under [Jurisdiction]
  • Binding decision
  • Company reserves right to seek court injunction for fraud or IP theft.

20. LIMITATION OF LIABILITY

Company shall not be liable for:

  • Loss of future revenue
  • Indirect damages
  • System downtime
  • Event cancellation losses
  • Maximum liability limited to last 3 months commission earned.

21. FORCE MAJEURE

Company is not responsible for:

  • Government bans
  • Regulatory shutdowns
  • Payment processor restrictionsCyber attacks
  • Natural disasters

22. NON-CIRCUMVENTION

Agency may not:

  • Move creators to competitor platforms using Company data
  • Share proprietary growth strategies externally
  • Violation may result in legal damages.

23. SURVIVAL CLAUSES

The following survive termination:

  • Confidentiality
  • Fraud liability
  • Indemnification
  • AML reporting
  • Financial record retention

24. ENTIRE AGREEMENT

This document constitutes the entire agreement between Company and Agency.
